Prokura is a form of comprehensive authorization that the board of a company can give to one or more people. The person who has received a power of attorney is often referred to as a power of attorney. This person is authorized to act on behalf of the company in everything related to its operation, cf. Section 1 of the Power of Attorney Act.
The power of attorney cannot, without express authorization, transfer or encumber the company’s immovable property or movable property that can be registered in the ship register or the aircraft register, or act on its behalf in legal proceedings.
The board’s decision to grant power of attorney must be registered both in the dCompany platform (the role register) and in the Brønnøysund registers.
